Tony Elumelu will step down as Group Chairman of United Bank for Africa on August 21, 2026, ending a 12-year tenure that saw the pan-African lender expand into one of the continent’s largest financial institutions.

The UBA board approved the departure on Monday, citing the Central Bank of Nigeria’s corporate governance framework, which caps non-executive director tenures at 12 years to strengthen board independence and accountability.

Emmanuel Nnorom, a current nonexecutive director on the board, will assume the group chairman role from the same date. The transition was endorsed by the full board without reported dissent.

Nnorom to Lead UBA Corporate Governance Transition

Nnorom’s appointment marks the first change at the top of UBA’s board structure in over a decade. The bank confirmed his elevation takes immediate effect from August 21, 2026, when Elumelu’s tenure formally concludes.

UBA described the handover as a routine governance exercise consistent with CBN regulations rather than a departure driven by performance or internal disputes. The bank did not disclose details of what Nnorom’s strategic priorities will be when he assumes office.

Elumelu, who has been associated with UBA for several decades, leaves a board position that tracked some of the institution’s most aggressive growth years. During his chairmanship, UBA expanded its African footprint to 20 countries and established a presence across four international financial centers. Its customer base now exceeds 50 million.

The bank’s statement stopped short of naming specific milestones or providing financial figures for the period of Elumelu’s tenure as chairman.

Elumelu’s Farewell Message Targets African Institution-Building

Elumelu addressed the announcement directly in a farewell post published on Facebook. He did not dwell on personal achievements but framed his departure around a broader argument about institutional development on the continent.

He said Africa’s problem is not a shortage of capable people. The real challenge, according to him, is building institutions that outlast the individuals who create them. He positioned UBA as evidence that such institutions are possible.

Elumelu described stepping down as the opening of a new chapter for the bank, not a closing of his own story. He said his vision from the beginning was to build an African financial institution capable of competing at the global level while contributing to economic development across the continent.

He expressed gratitude to employees, shareholders, regulators, customers, and business partners, calling their collective contribution central to what UBA has become. He did not make specific references to future plans or other roles he may take on following his exit from the board.

Outgoing Chairman Backs Nnorom as His Successor

Elumelu used his farewell statement to explicitly endorse Nnorom, urging UBA stakeholders to extend the incoming chairman the same support they had given him throughout his tenure.

He described Nnorom as someone with the right experience and depth of understanding of the institution to lead the next phase of the bank’s growth. The endorsement was personal in tone but carried the weight of a formal handover signal to investors and staff.

Nnorom has not yet issued a public statement on his appointment as of the time of this report. UBA also did not provide a biographical summary or outline of Nnorom’s track record on the board ahead of the announcement.

The CBN’s 12-year limit on non-executive directors was introduced as part of broader efforts to prevent board entrenchment and force regular renewal of oversight structures at Nigerian financial institutions. UBA’s compliance with this rule means the Elumelu exit was not unexpected within banking circles.

UBA currently operates across 20 African countries and serves a customer base of more than 50 million people, making it one of the largest retail banks by customer reach on the continent. The bank has positioned its pan-African network as a competitive advantage in trade finance, remittances, and financial inclusion across underserved markets.

Elumelu remains one of Nigeria’s most prominent business figures through his Heirs Holdings conglomerate and the Tony Elumelu Foundation, which funds African entrepreneurship programs. Neither entity issued a statement on the UBA board exit by the time of publication.
